Scent With Love Wholesale Terms and Conditions

The Supplier reserves the right, at its sole discretion, to update, change or replace any part of these Terms & Conditions of Trade by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of/or access to our website and/or the placement of an order for goods following the posting of any changes to these Terms of Service constitutes acceptance of these changes.

1. Definitions

a. "Products" shall mean the candles and related products supplied by the Supplier to the Buyer under this Agreement.

b. "Order" shall mean a purchase order issued by the Buyer to the Supplier, specifying the quantity, type, and other relevant details of the Products to be purchased.

c. “Buyer” shall refer to business who has applied and been accepted for Wholesale and/or as a stockist.

d. “Supplier” shall refer to Scent With Love

2. Orders

a. The Buyer shall submit the Whole Order to the Supplier in writing, by completing a Wholesale Request Form, specifying the quantity, type, and any other relevant details of the Products to be purchased.

b. The Supplier shall confirm receipt of each Order within two (2) business days and provide an estimated delivery date.

c. The Supplier reserves the right to accept or reject any Order in its sole discretion.

d. Minimum Order total is $100NZD, exclusive of shipping fee.

3. Pricing and Payment Terms

a. The pricing for the Products may be updated by the Supplier from time to time upon written notice to the Buyer.

b. Payment for each Order shall be made by the Buyer at the time of order.

c. Orders will not be shipped/made ready for pick-up until the invoice has been paid in full.

d. Payment can be made via the invoice. No layby options can be offered for Wholesale.

e. Orders not paid within seven (7) days of initial receipt will be cancelled.

4. Delivery

a. The Supplier shall use commercially reasonable efforts to deliver the Products to the Buyer by the agreed-upon delivery date.

b. The Buyer shall bear all shipping and handling costs, unless otherwise agreed in writing by the parties.

5. Inspection and Acceptance

Upon receipt of the Products, the Buyer shall inspect them for damage or defects. The Buyer shall notify the Supplier of any non-conforming Products within three (3) days of receipt. Failure to notify the Supplier within this timeframe shall constitute acceptance of the Products.

6. Recommended Retail Pricing

a. The Buyer shall not sell the products for more than 110% of the current listed price on the Suppliers website.
b. It is the Buyers' responsibility to check the current RRP on the supplier’s website.

7. Intellectual Property

The Supplier retains all rights, title, and interest in and to the intellectual property rights related to the Products. The Buyer shall not use the Supplier's trademarks, logos, or other intellectual property without the Supplier's prior written consent.

8. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by one party to the other in connection with this Agreement, except to the extent necessary to perform their obligations hereunder or as required by law.

9. Updates to these terms and conditions
Scent With Love reserves the right to update these terms and conditions from time to time as required.

10. Returns or Claims
All claims for damage or adjustment for incorrect delivery must be advised in writing to the Company within seven (7) days of receipt of the Goods and must be supported by the invoice number. If no complaint is received within these seven (7) days, then the Customer shall be deemed to have accepted that the Goods were correctly delivered and charged.
No Goods will be accepted for return without our prior written consent.
Freight for any returns is at the expense of the Buyer unless otherwise agreed in writing by the Supplier.

11. Defective Goods
All claims for defective Goods should be made in writing to the Company. The Company’s liability for defective Goods and loss caused by defective Goods is limited at our option to either:
1) Replacing the defective Goods; or
2) Refunding the price of the Goods rejected
